Welcome to Netsarthi IT Solutions. These Terms & Conditions ("Terms", "Terms & Conditions", or "Agreement") govern your access to and use of our website, products, digital services and professional services provided by Netsarthi IT Solutions ("Netsarthi", "we", "us", or "our").

By accessing our website, submitting an enquiry, placing an order, purchasing a service, subscribing to a service, requesting a quotation, or otherwise engaging with Netsarthi IT Solutions, you acknowledge that you have read, understood and agreed to these Terms & Conditions.

1. About Our Services

Netsarthi IT Solutions provides digital and technology-related services including, but not limited to, website design and development, e-commerce development, WordPress development, web applications, landing pages, domain registration assistance, web hosting, website maintenance, search engine optimisation (SEO), digital marketing, social media services, graphic design, video editing, technical support and other related digital solutions.

The exact services, features, deliverables, timelines, pricing, revisions and technical specifications applicable to a particular project will depend on the selected service, package, order, proposal, quotation or written agreement.

Services shown on the website may be modified, replaced, updated or discontinued from time to time. Features included in a service package are limited to those specifically stated at the time of purchase unless otherwise agreed in writing.

2. Website Use

You agree to use our website only for lawful purposes and in a manner that does not violate these Terms, applicable laws, regulations or the rights of any third party.

You must not attempt to gain unauthorised access to our website, admin systems, servers, databases, hosting environment, payment systems or other technical infrastructure.

You must not knowingly introduce malicious code, viruses, malware, harmful scripts or other material capable of disrupting or damaging our website, systems or services.

You must not use our website or services for fraudulent, illegal, abusive, deceptive or unauthorised activities.

3. Orders and Service Confirmation

An order submitted through our website does not necessarily constitute acceptance until it has been reviewed and accepted by Netsarthi where review or approval is required.

For standard fixed-price services, work may begin after successful payment and receipt of all required information. For custom projects, work may begin after acceptance of the quotation, receipt of the agreed advance payment and submission of the information required to commence the project.

We reserve the right to decline or cancel an order where the requested work is technically unsuitable, unlawful, abusive, fraudulent, inconsistent with our service policies, or otherwise cannot reasonably be provided.

4. Pricing

All prices displayed on the website are subject to the service description, package inclusions and applicable taxes, charges or third-party costs.

Pricing for custom work may differ from the prices shown for standard packages. A separate quotation may be provided for custom requirements, additional functionality or work outside the scope of a selected package.

Unless specifically stated otherwise, third-party expenses such as domain registration, premium themes, premium plugins, paid APIs, stock media, email services, SMS services, hosting upgrades, payment gateway charges, advertising expenditure, software licences and application-store fees may be charged separately.

5. Quotations and Proposals

Unless otherwise stated in writing, quotations and proposals are valid for the period specified in the quotation. After expiry, pricing, availability, features or delivery estimates may be revised.

A quotation is based on the requirements known to us at the time it is issued. If the requirements change after approval, additional charges may apply.

Any verbal discussion that changes the agreed project scope should be confirmed through written communication before being treated as part of the final scope.

6. Payments

Payments must be made through the payment methods made available by Netsarthi or through another payment method specifically approved by us.

For custom projects, an advance payment may be required before development or design work begins. The remaining amount will be payable according to the payment schedule communicated in the quotation, invoice or agreement.

Where a project has an unpaid balance, we may withhold final delivery, source files, credentials, deployment, domain transfer, hosting access or other deliverables until the outstanding amount has been received, subject to applicable law and the agreed service terms.

Payments made for third-party services may become non-refundable once those services have been purchased or provisioned.

7. Taxes

Where applicable, taxes and statutory charges will be added to the service price in accordance with applicable requirements.

The customer is responsible for providing accurate billing information and any details reasonably required for invoicing.

8. Client Information and Responsibilities

The client is responsible for providing accurate and complete project information, business details, text, images, logos, product information, videos, brand guidelines, technical credentials and other materials required for completion of the service.

The client must ensure that all material supplied to Netsarthi is lawful and that the client has the necessary rights, permissions, licences or authorisations to use such material.

Netsarthi is not responsible for delays arising from missing information, inaccurate information, delayed approvals, unavailable credentials, delayed payments or other client-side dependencies.

Where a client does not provide required information within a reasonable period, the project timeline may be extended accordingly.

9. Website Development

Website development is performed according to the approved scope, package, quotation or project specification.

Unless explicitly included, the following may be treated as additional requirements: custom software integrations, complex dashboards, advanced automation, third-party API integrations, mobile applications, advanced booking systems, payment integrations, extensive product uploads, multilingual functionality, custom reporting systems and other functionality outside the agreed scope.

Website performance may depend on hosting, third-party services, plugins, APIs, databases, network conditions, browsers and other external factors.

10. Design and Content Approval

The client is responsible for reviewing designs, content, page structures and functionality during the project and providing timely feedback.

Once a design, page, feature or deliverable has been approved, subsequent changes may be considered additional work if they fall outside the included revision allowance or agreed scope.

Clients should carefully review spelling, pricing, contact information, product information, legal text and other business details before approving final delivery.

11. Revisions

The number of revisions included in a service will be determined by the selected package or written quotation.

A revision means a reasonable change to an existing agreed design or deliverable. A complete redesign, change of project direction, additional pages, additional functionality or requirements introduced after approval may not be considered a standard revision.

Additional revisions or work outside the agreed scope may be charged separately.

12. Delivery Timelines

Any delivery date or timeline provided by Netsarthi is an estimated timeframe unless a specific deadline has been expressly agreed in writing.

Timelines generally begin after receipt of all required content, information, approvals, credentials and applicable payments.

Delays may occur due to third-party services, hosting providers, domain registrars, payment gateways, API providers, application stores, technical dependencies, client delays, force majeure events or circumstances outside our reasonable control.

13. Domain Registration

Where Netsarthi assists with domain registration, the domain remains subject to the rules, terms and renewal requirements of the applicable domain registrar and registry.

Domain registration fees, renewal fees, transfer fees and other registrar charges may be separate from development or hosting charges.

The client is responsible for ensuring that domain registration information is accurate and for maintaining access to the relevant account and contact information where applicable.

Netsarthi is not responsible for loss of a domain caused by incorrect client information, failure to renew, registrar policies, registry restrictions, suspension or other circumstances outside our reasonable control.

14. Web Hosting

Hosting services are provided subject to the applicable hosting plan, resource limits, acceptable-use requirements and technical specifications.

Any uptime figure or performance target communicated by Netsarthi is an operational target and should not be interpreted as an unconditional guarantee of uninterrupted availability.

Hosting availability may be affected by maintenance, upstream network issues, server problems, resource abuse, security incidents, DDoS attacks, software failures, data-centre problems, third-party infrastructure and other events outside our reasonable control.

Hosting accounts may be suspended or restricted where necessary due to non-payment, security risks, excessive resource usage, abuse, malicious activity, unlawful content or violation of applicable hosting policies.

15. Backups and Data

Where backups are provided as part of a hosting or maintenance service, they are intended as a recovery facility and should not be treated as the sole copy of important business information.

Clients should maintain independent copies of critical website content, databases, documents, media and other business records.

Netsarthi is not responsible for data loss resulting from circumstances outside our reasonable control, including hardware failure, malicious attacks, software errors, client actions, third-party failures or deletion of data by authorised account users.

16. Third-Party Services and Software

Projects may use third-party services, plugins, themes, APIs, frameworks, fonts, stock media, payment providers, hosting infrastructure, analytics platforms or other external services.

Third-party services are governed by their own terms, licences, policies, pricing and availability.

Netsarthi does not control third-party providers and therefore cannot guarantee their continued availability, pricing, functionality, compatibility or future policies.

Where a third-party licence or subscription is required, the client may be responsible for obtaining and maintaining that licence unless explicitly included in the purchased service.

17. Payment Gateway Integrations

Where we integrate a payment gateway into a website, the integration is dependent on the gateway provider's APIs, documentation, approval procedures and technical availability.

Approval of a merchant account, business verification, settlement, transaction limits, chargebacks, payment disputes and account restrictions are controlled by the relevant payment service provider and are not guaranteed by Netsarthi.

18. SEO Services

SEO services may include technical optimisation, on-page optimisation, content recommendations, keyword research, performance improvements, indexing assistance and other agreed activities.

Search-engine rankings depend on numerous factors outside our control. Netsarthi does not guarantee a specific ranking, traffic level, lead volume, revenue level or position on search engines unless expressly agreed otherwise in writing and legally permissible.

19. Digital Marketing and Advertising

Digital marketing and advertising services are performed according to the agreed scope and advertising budget.

Advertising spend paid to platforms such as search engines, social media platforms or other advertising networks is separate from our professional service fees unless specifically stated otherwise.

Campaign performance may vary due to competition, audience behaviour, platform algorithms, account restrictions, market conditions, creative quality, budget and other factors.

20. Social Media Services

Where social media management is provided, the exact number of posts, creatives, captions, videos, revisions, platforms and other deliverables will depend on the selected package or agreement.

Social media platforms may change their policies, algorithms, features or account requirements without notice. Netsarthi is not responsible for platform-side changes, account restrictions or service interruptions caused by those platforms.

21. Intellectual Property

The client represents that it has the necessary rights to use all content, trademarks, images, logos, videos, documents and other materials supplied for the project.

Unless otherwise agreed in writing, third-party components remain subject to their respective licences and ownership rights.

Custom-developed work and deliverables may be transferred to the client according to the terms of the applicable quotation or service agreement after all applicable payments have been completed.

Until the required payments have been received, Netsarthi may retain ownership or control of project deliverables to the extent permitted by applicable law.

22. Portfolio and Marketing Use

Unless the client has specifically requested otherwise in writing, Netsarthi may display completed work, screenshots, non-confidential project information or publicly available portions of a completed project in its portfolio, website, social media profiles or promotional material.

Confidential information supplied by the client will not knowingly be disclosed publicly except where required by law or with the client's permission.

23. Confidentiality

Both parties should take reasonable steps to protect confidential information received from the other party.

Confidential information does not include information that is already publicly available, independently developed, lawfully received from another source, or required to be disclosed by law or a lawful authority.

24. Account Credentials and Security

Clients are responsible for keeping their passwords, hosting credentials, domain credentials, email credentials and other access information secure.

Clients should use strong passwords and appropriate security measures and should not share access credentials unnecessarily.

Netsarthi will not be responsible for losses caused by credentials being exposed, shared, compromised or misused due to circumstances outside our reasonable control.

25. Acceptable Use

Our services must not be used to operate or distribute content or activities that violate applicable law or the rights of third parties.

This includes, without limitation, fraudulent websites, malicious software, phishing systems, unauthorised data collection, copyright infringement, impersonation, illegal transactions, abuse of network resources and other unlawful or harmful activity.

Where there is a reasonable security or legal concern, we may suspend or restrict the affected service pending clarification or resolution.

26. Cancellation and Termination

Either party may request termination of an ongoing engagement subject to the applicable agreement and payment obligations.

Where a project is cancelled after work has commenced, amounts relating to work already completed, approved deliverables, third-party purchases, resources committed or other applicable charges may remain payable.

Termination does not automatically cancel outstanding payment obligations that arose before termination.

27. Refunds

Refund eligibility is governed by the applicable Refund Policy and the nature of the service purchased.

Because many digital services involve time, labour, third-party purchases or customised work, certain services or completed work may not be eligible for a refund, subject to applicable law.

Domain registration, third-party software, hosting resources already provisioned, advertising spend and other external charges may be non-refundable where the relevant provider has already charged or provisioned the service.

28. Chargebacks and Payment Disputes

Clients are expected to contact Netsarthi before initiating a payment dispute or chargeback where there is a service-related concern.

Unauthorised or fraudulent chargebacks may be challenged using the applicable transaction records, invoices, order information, service communications and delivery evidence.

This clause does not limit any legal rights available to a customer under applicable law.

29. Warranty and Corrections

Where a delivered service includes a defined support or correction period, Netsarthi will address reproducible issues that fall within the agreed scope.

Issues caused by client-side modifications, third-party updates, unsupported software, unauthorised changes, hosting configuration changes or new requirements may be treated as additional work.

30. Limitation of Liability

To the maximum extent permitted by applicable law, Netsarthi's liability relating to a specific service will be limited to the amount actually paid for that specific service, except where such limitation cannot legally apply.

Netsarthi will not be responsible for indirect, incidental, special or consequential losses, loss of profits, loss of business opportunities, business interruption, loss of data or loss of expected revenue to the extent permitted by applicable law.

31. No Guarantee of Business Results

Our services are intended to provide digital, technical or marketing support. Results may depend on many factors outside our control.

Unless a specific outcome has been expressly agreed in writing, Netsarthi does not guarantee a particular amount of revenue, sales, leads, customers, traffic, followers, search-engine ranking or business growth.

32. Force Majeure

Netsarthi will not be considered in breach of these Terms where performance is delayed or prevented by events beyond our reasonable control, including natural disasters, government actions, internet or network failures, cyber incidents, major infrastructure failures, third-party service outages, strikes, war, civil disturbances or other similar events.

33. Communication

Project communication may take place through email, phone, messaging applications, support channels or other communication methods agreed between the parties.

Clients should ensure that the contact details provided to Netsarthi remain accurate and accessible.

34. Notices

Important service-related notices may be communicated through the email address, phone number or other contact information associated with the customer's order or account.

Clients are responsible for checking communications relevant to their services.

35. Changes to Services

Netsarthi may update, improve, modify or discontinue features, packages, prices or services from time to time.

Changes to an existing paid service will be handled according to the relevant service agreement and applicable subscription or hosting terms.

36. Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes to our services, business practices or legal requirements.

Updated Terms will be published on this page. Continued use of our website or services after an update may be subject to the revised Terms, to the extent permitted by applicable law.

37. Privacy

Personal information collected through our website, enquiries, orders and service interactions is handled in accordance with our Privacy Policy.

By using our services, you acknowledge that certain information may be required to process orders, provide support, communicate with you and deliver the requested services.

38. Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

39. Waiver

Failure by either party to enforce any provision of these Terms at a particular time does not automatically constitute a permanent waiver of that provision or any other provision.

40. Entire Agreement

These Terms, together with applicable quotations, invoices, service descriptions, policies and written agreements, constitute the understanding between the parties regarding the relevant service.

Where there is a conflict between these Terms and a specific written agreement signed or expressly accepted by both parties, the specific agreement may govern the affected service to the extent stated in that agreement.

41. Governing Law

These Terms & Conditions are governed by the laws applicable in India. Any dispute will be handled in accordance with applicable law and the jurisdiction specified in the relevant agreement, where applicable.
